Terms of Service — Zentora

These Terms of Service (the “Terms”) govern your access to and use of the Zentora application, websites, dashboards, APIs, smart-contract integrations, and related services (collectively, the “Services”). By creating an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

• You represent that you have read, understood, and accepted these Terms.
• These Terms form a binding agreement between you and Zentora Digital..
• Supplemental terms may apply to specific features and will be presented where relevant.

You must be at least the age of majority in your jurisdiction and have the legal capacity to enter into these Terms. You are responsible for providing accurate registration data and for maintaining the confidentiality of your credentials, wallets, and devices used to access the Services.

Account Responsibilities

• You are solely responsible for all activities under your account and wallets.
• Promptly notify us of any suspected unauthorized access, credential compromise, or security incident.
• We may require identity verification and enhanced due diligence at any time.

Zentora provides a digital platform for crypto-denominated services, including virtual mining-style products, DeFi-style contracts with reward mechanics, referral programs, dashboards, and analytics. The Services may integrate third-party networks, custody providers, or smart contracts. We do not operate a traditional financial institution or provide custodial guarantees unless explicitly stated.

Service Characteristics

• Access to “virtual mining” does not imply ownership of physical hardware or hashpower.
• Displayed yields, APR/APY, or projections are estimates and not guarantees.
• APIs, prices, or rewards may be delayed, throttled, or temporarily unavailable.

Crypto assets, DeFi protocols, and virtual mining products involve significant risks, including market volatility, protocol failures, smart-contract bugs, validator slashing, de-pegging of stablecoins, chain reorganizations, forks, liquidity crises, exchange/custody failures, regulatory changes, and total loss of principal. You acknowledge and accept these risks.

Key Risk Factors

• Price volatility may lead to rapid and substantial losses.
• Smart contracts, bridges, and oracles can fail or be exploited.
• Rewards are not guaranteed; historical returns are not indicative of future results.
• Network fees (gas) and congestion can impact costs and settlement time.
• Regulatory actions could restrict or prohibit some Services in certain regions.

Zentora does not provide investment, financial, tax, or legal advice. Any dashboards, estimates, backtests, tutorials, marketing materials, community content, or analytics are for informational purposes only. You are solely responsible for your decisions and for seeking independent professional advice as needed.

We implement risk-based KYC/AML and sanctions screening policies. You agree to provide documents and information upon request and to keep them accurate and up-to-date. We may restrict, suspend, or terminate access if you fail verification, appear on sanctions lists, or present elevated risk.

Sanctions & Restricted Regions

• Use of the Services is prohibited where it would violate applicable sanctions or export controls.
• We may geoblock access or disable features to comply with regulations.

Payments may be processed in crypto or fiat through third-party providers. Pricing, fees, spreads, and exchange rates are disclosed at point of use or in the dashboard. You authorize us to debit applicable fees and to pass through network costs and provider charges.

Taxes

You are solely responsible for determining, reporting, and paying any taxes arising from use of the Services, including income, gains, VAT, GST, or similar. We do not provide tax advice and may provide generic statements of activity as available.

Rewards, yields, or payouts (collectively “Rewards”) may accrue based on program rules disclosed in-app. Accrual logic can change due to market conditions, risk controls, technical constraints, or regulatory requirements. Any auto-compound features are subject to availability and execution success on underlying networks.

• Displayed “daily” or “term” rates are not guaranteed and may vary or be capped.
• We may pause or adjust Rewards for maintenance, risk mitigation, or compliance reasons.
• Fraud, gaming, or abuse voids any pending or future Rewards at our discretion.

Withdrawal processing times can vary by asset, network congestion, compliance checks, and third-party providers. Large withdrawals may require additional verification. Chargebacks, clawbacks, or reversals may be applied in cases of error, fraud, or policy violations.

• Principal may be locked for specific contract terms, as disclosed in-app.
• We reserve the right to place temporary holds for risk or technical reasons.
• Network fees and minimum thresholds may apply per asset.

You agree not to misuse the Services. Prohibited conduct includes, without limitation:

• Illegal activity, money laundering, terrorist financing, or sanctions evasion.
• Exploiting bugs, manipulating metrics, wash-trading rewards, or using bots to game systems.
• Interfering with service integrity, attempting unauthorized access, or attacking infrastructure.
• Impersonation, data scraping without permission, or violating third-party rights.

The Services, including software, UI/UX, designs, trademarks, content, documentation, and data, are owned by Zentora Digital. or its licensors and are protected by IP laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal or authorized business purposes.

We process personal data in accordance with our Privacy Policy. We implement reasonable technical and organizational measures; however, no system is perfectly secure. You must safeguard your credentials, implement device hygiene, and use security features such as 2FA where available.

We strive for high availability but do not guarantee uninterrupted Services. We may conduct maintenance, upgrades, migrations, or emergency interventions that temporarily affect functionality.

• Status updates may be provided via official channels when feasible.
• Incidents can be triaged according to severity and impact.

We may modify the Services, features, pricing, or these Terms at any time. Material changes will be communicated via in-app notice or other reasonable means. Continued use after the effective date constitutes acceptance of the changes.

We may publish compliance summaries, risk frameworks, or attestations as available. Nothing herein creates a duty to update at any cadence. Regulatory classification of crypto assets and DeFi services is evolving; your access may be restricted or modified to maintain compliance.

Certain components may incorporate open-source libraries or third-party services subject to separate licenses. To the extent of any conflict, the third-party license terms control for that component.

We encourage responsible disclosure. Do not exploit vulnerabilities or access data you do not own. Report issues to our security team with sufficient detail to reproduce. Good-faith research within a safe scope may be eligible for recognition at our discretion.

• No data exfiltration, service degradation, or privacy violations during testing.
• Follow local laws and avoid prohibited research on third-party infrastructure.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, Zentora Digital. AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR IN CONNECTION WITH THE SERVICES OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

• You confirm you have read and agree to these Terms and the Privacy Policy.
• You understand the risks associated with crypto assets and DeFi-style products.
• You agree to comply with KYC/AML checks and provide accurate information.
• You accept that yields are not guaranteed and may be adjusted or paused.
• You agree to binding arbitration and the governing law specified above.
